Deferral and Exclusion of Long-Term Capital Gains for Investments in a Qualified Wisconsin Business 

Individuals, including individual partners or members of a partnership, limited liability company, or limited liability partnership, and individual shareholders of a tax-option corporation must invest the portion of gain to be deferred into a qualified business within 180 days (about 6 months) of the sale of the capital asset. 

 

A “Qualified Wisconsin Business” is:

  • a registered business with at least two full-time employees and the amount of payroll compensation paid by the business in Wisconsin is equal to at least 50 percent of the amount of all payroll compensation paid by the business.

  • The value of real and tangible personal property owned or rented and used by the business in Wisconsin is equal to at least 50 percent of the value of all real and tangible personal property owned or rented and used by the business."

Community Rehabilitation Program Credit 

A "Community Rehabilitation Program" is a nonprofit entity, county, municipality or state or federal agency that directly provides, or facilitates the provision of vocational opportunities including career advancement, of such individuals. "Vocational rehabilitation services" include education, training, employment, counseling, therapy, placement, and case management. "Work" includes production, packaging, assembly, food service, custodial service, clerical service, and other commercial activities that improve employment opportunities for individuals who have disabilities. 

Any individual, estate or trust, partnership, limited liability company (LLC), corporation, tax-option (S) corporation, or tax-exempt organization that enters into a contract with a community rehabilitation program to have the program perform work for the entity may be eligible for the credit. Partnerships, LLCs treated as partnerships, and tax-option (S) corporations cannot claim the credit; however, the credit computed by those entities can pass through to the partners, members, or shareholders and be claimed on their respective tax returns.

  • Min./Max Award: The credit is equal to 5% of the amount paid (up to $500,000) in the taxable year to a community rehabilitation program to perform work for your business. The maximum credit that any claimant may claim in a taxable year is $25,000 for each community rehabilitation program for which the claimant enters into a contract to have the community rehabilitation program perform work for the claimant's business.

The purpose of the Research Expense Credit is to provide an incentive for increasing qualified research activities conducted within the state of Wisconsin. Types of research credits include credits for increasing research, research related to internal combustion engines, and research for activities related to certain energy-efficient products. Eligible entities include entities taxed as a C-corporation (C-corporations, publicly traded partnerships, LLCs), exempt corporations (provided that its qualified research expenses in Wisconsin are incurred as a part of an unrelated trade or business), and individuals. Important: Partnerships and tax-option (S) corporations, including LLCs treated as partnerships or tax option (S) corporations, cannot claim the credit; however, the eligibility for claiming the credit and the computation of the credit is based on the amount the entity pays for qualified research activities. The credit computed by those business entities can pass through and be claimed by the partners, members, or shareholders.


 Qualified research expenses are equal to the sum of in-house research expenses and contract research expenses for research conducted in Wisconsin. Additionally, the research expenditures must relate to a particular business being carried out by the taxpayer.

The credit amount varies depending on the qualified research expenses for the taxable year. It is calculated as follows:

  1. For general qualified research activities: 5.75% of the amount by which the claimant's qualified research expenses for the taxable year exceed 50% of the average qualified research expenses for the three taxable years immediately prior to the taxable year for which the credit is claimed.

  2. For qualified research expenses related to designing internal combustion engines for vehicles, energy-efficient lighting systems, building automation and control systems, or automotive batteries for use in hybrid-electric vehicles: 11.50% of the amount by which the claimant's qualified research expenses exceed 50% of the average qualified research expenses for the three taxable years immediately prior to the taxable year for which the credit is claimed."

The program aims to provide tax incentives for investments in Wisconsin qualified opportunity funds, thereby promoting economic development and revitalization in designated opportunity zones within the state. Eligible entities include individuals, tax-option (S) corporations, insurance companies, and corporations. To qualify for the capital gain exclusion, investors must make investments in a Wisconsin qualified opportunity fund within specified timeframes and hold the investment for a minimum duration as outlined by federal regulations. Individual partners, members, or shareholders may not claim the Wisconsin subtractions if the partnership or tax-option (S) corporation makes the election to pay tax at the entity level.

  • Min./Max Award: The amount of the capital gain exclusion varies based on the timing and duration of the investment in a Wisconsin qualified opportunity fund. Investors may be eligible to exclude a percentage of their deferred capital gains from taxable income, with potential increases in basis adjustments based on the investment's duration. The subtraction from income or basis adjustment does not apply to capital gains excluded or deferred under the qualified Wisconsin business program described in sec. 71.05(25) and (26), Wis. Stats.

By reducing the tax burden on these industries, the government can stimulate growth and encourage innovation, ultimately leading to a stronger and more prosperous economy.

  • Min./Max Award: There is no maximum dollar limit; however, the maximum amount of credit that may be claimed is up to the gross tax computed from the business operations that were used to claim the credit on the corporate franchise or income tax return.

  • Eligibility Obstacle: Program requires job creation for eligibility, which is a significant hurdle in the current economic environment that includes a severe workforce shortage.
